The European Commission conditionally approved JD.com’s(京东)proposed acquisition of German electronics retailer CECONOMY AG on November 3. The decision clears the transaction under the EU’s Foreign Subsidies Regulation and makes a set of ten-year commitments binding on the companies.

The Commission examined whether financial support JD.com received from China could give the combined business an advantage in European retail. Under the commitments, transactions between JD.com and CECONOMY, including financing, must take place on market terms. The commitments also require equal access for third-party retailers to relevant warehousing, logistics and technology services. An independent trustee will monitor compliance under the Commission’s supervision.

JD.com launched its cash offer in 2025 at EUR 4.60 per share, valuing CECONOMY’s equity at approximately EUR 2.2 billion. CECONOMY, which owns the MediaMarkt, MediaWorld and Saturn retail brands, said the Commission’s approval satisfied the final condition of the offer. JD.com aims to close the deal by November 12.

The acquisition would give JD.com an established store network and customer base in Europe. The commitments will shape how the companies share logistics and technology after closing, including the terms on which other retailers can access those services.
